We.areassistingtheDistrict <br />and Enterprise with respect to Loan Contract No. C-150135 ("Loan ContracY'), between the <br />District, Enterprise and the Colorado Water Conservation Board ("CWCB"). In so acting, <br />we have examined the Constitution and the laws of the State of Colorado, and relevant <br />documents related to the District and Enterprise. We aze of the opuuon that: <br />1. The District and Enterprise possess full legal right and authority to execute <br />the Loan Contract and to observe and perform the duties, covenants, <br />obligations and agreements therein. <br />2. The Loan Contract has been duly executed by officers of the District and <br />Enterprise who aze duly elected ar appointed and authorized to execute the <br />Loan Contract and legally bind the Disirice and Enterprise. <br />3. The Resoludons of the District and Enterprise approving the Loan Contract <br />and authorizing its execution, issuance and delivery on behalf of the District <br />
