Board of Directors, regular or special, shall be held at said office; provided: that any special meeting may be held at any proper and appropriate place which may be designated by the Board of Directors or designated in the call for such meeting. SECTION 4 - Notice of Meetings. Not less than 6 and not more than 15 days prior to the date of any regular or special meeting, the Secretary shall give written notice by mail to each member of the Board of Directors that such meeting will be held, which notice shall state the hour of the convening thereof, the place at which the same will be held, and shall be directed to each Director at his address as the same shall then appear in the office of the Secretary. Such notice shall briefly state the items of business to be considered. Notice of all regular and special meetings shall also be given to any person or agency requesting same. SECTION 5 - Quorum A quorum of the Board of Directors shall consist of a majority of the members thereof. Less than a quorum shall have power and authority to adjourn any regular or special meeting at which less than a quorum shall be present, and to fix the time and place of the holding of an adjourned meeting thereof. Directors must be ( present to vote. ARTICLE V - OFFICERS SECTION I - Designation. The officers of the District shall be a President, vice- President, a Secretary and a Treasurer. SECTION 2 - Qualification and election of Officers. All officers, save only the treasurer and secretary, shall be members of the Board of Directors. Said officers shall be elected by the Board of Directors annually, at the regular January meeting of said Board in each year, as such meetings are prescribed in the Colorado River Water Conservation District Act.
