20. CONTINGENCIES: Notwithstanding the execution of this

Lease Agreement by both parties the terms hereof shall not become

binding upon either party heret~ unless and until each of the

following contingencies has been perfor.med and satisfied:

a. Issuance of necessary governmental permits or

approvals for the construction and operation of the Reservoir.

b. The decrees entered in Cases numbered 2782, 5016

and 5017 in the United States District Court for the District of

Colorado are modified by the Cou~t to permit the exchanges

contemplated hereby and to permit the storage made in the Reservoir

to be a credit against the filliAg of Green Mountain Reservoir and

such other revisions to the decrees as may be necessary to permit

the exchanges contem~lated hereby without violation of any of the

te~s or conditions of the decrees.

the Secretary of Interior and Denver by which Denver compensates the

Secretary of Interior or replaces power lost by interruption of the

operation of the power plant at.Green Mountain Reservoir.

d. This Lease Agreement is confirmed ~ the Court

pursuant to C.R.S. 537-46-131, as amended, which confirmation

proceeding may include a. request for the Court to confirm the use of

funds received under the Windy Gap Agreement dated April 30, 1980,.

and the supplement to that Agreement dated March 29, 1985, for the

financing of the construction of the reservoir.
