<br />Tri-Area shall provide St. Vrain with a title insurance commitment for the Tri-Area <br />sewage treatment plant site, that will be transferred to St. Vrain upon entry of an order <br />dissolving Tri-Area. If St. Vrain wishes to obtain a title insurance policy, it shall so <br />notify the title company and pay the premium thereon on or about the tiree said treatment <br />plant site is conveyed to 81. Vrain. <br /> <br />2.2.3 Illsncctions. Tri-Area will allow St. Vrain's employees aadior <br />agents to make sllch inspections, as 8t. Vrain deems necessary, of Tri-Area's real <br />propel1y, equipment, buildings ami appurtenances, sanitary and sewer storm drainage <br />systems, records, and other pmperty of whatsoever kind or nature. All such inspections <br />shall be completed no later than thirty (30) days prior to the date set for the hearing ou the <br />Petition for Dissolution. <br /> <br />2.2.4 Emplovee and Pellsion Records. Tri-Area shall provide a list to <br />St. Vrain of all Tri-Area employees, including the employment and benefits status for <br />each employee. <br /> <br />2.2.5 Contracts. Tri-Area shall provide a list to St. Vrain of all contracts <br />entered into between Tri-Area and any other party, including all intergovernmental <br />agreements. Tri-Area shall provide written notice to any and all of its public and private <br />contractors of the cancellation of such contract or contracts, contingent upon and <br />effective as of the date of the Dissolution. Should the terms of any contract between <br />Tri-Area and third parties not permit cancellation, St. Vrain shall be so notified and <br />81. Vr,ain shall assume and perform all ofTri-Area's obligations thereunder. <br /> <br />2.2.6 Financial Audit. Tri-Arca at its expense shan provide St. Vrain with <br />the Tri-Area audit for calendar year 2006~ which audit shall, if it has not already oeen <br />performed, be performed in accordance with generally accepted accounting principals. <br /> <br />2.2.7 FinancialOblil!ations. Tri-Area shall provide St. Vrain with a <br />complete list of all o<,utstanding financial obligations that will extend beyond the current <br />calendar year, including but not limited to any and all loans Tri-Area has outstanding <br />with the Colorado Water Conservation Board. <br /> <br />~ <br /> <br />2.2.8 Pelldin2 Lit12ation. Tn-Area shall provide 81. Vrain with a list of <br />any and all pending litigation or other administrative proceedings to which Tri-Area is a <br />party. <br /> <br />2.2.9 Tecbnical Documents and Customer Data. St. Vrain shall be <br />entitled to inspect all videos, maps~ easements and all technical information relating to <br />Tli-Area~s sanitary sewer and storm sewer drainage systems, as well as aU customer <br />information, including the name and address of each customer and the size of any <br />sanitary sewer tap currently serving that customer's property.
