2.1.6 Time Table. The fonowing time table for the Dissolution and
Inclusion shall, as nearly as practical, be followed by the Parties:

A. This Agreement shall be adopted by the Parties as soon as
possible, but in no event later than August 15, 2007.

B. Legal descriptions available: August 15,2007.

C. Dissolution Resolution adopted by the Weld County Tri-Area
Sanitation District on or before August 15, 2007.

D. Petition for Dissolution filed with District Court as soon as
possible after the Dissolution Agreement is executed by all Parties.

E. First Inclusion Resolution adopted by S1. Vrain: May 9,2007.

F. Postcard Notice ofInclusion by 81. Vrain sent: May 22, 2007.

G. Final Inclusion Resolution adopted by 81. Vrain: June 21,2007.

H. Dissolution Hearing by Court (within 50 days offiIing the
Petition): October 1,2007 (assumed).

I. Election, Tuesday: November 6, 2007.

J. Canvass meeting: Wednesday, November 7, 2007.

K. Court Order and other filings: December 8, 2007

The above time table is recognized as aggressive, and the Parties acknowledge that
certain events are out of their control, such as the timing of Court orders or approvals in
the above schedule may vary."

2.2 _ Document Production and Review.

2.2.1 Real ProDertv and EquiDment Inventorv. Tri-Area shall provide
S1. Vrain with an inventory ofTri-Area's real property (including easements) and
equipment, including as to each item of equipment, a general description, serial number,
model number, current condition and expected remaining Efe, and a list of all security
interests, if ~~y, encumbering each item of equipment.

2.2.2 Sewer Treatment Plant Site. As soon as is reasonably practical, but
no later than thirty (30) days following execution of this Agreement by all Parties,
