NOTICE OF HEARING ON PETITION FOR DISSOLUTION

PUBLIC NOTICE IS HEREBY GIVEN that a Petition for Dissolution of the
Weld County Tri-Area Sanitation District ("District") was filed in the District Court, in
and for the County of Weld, State of Colorado, on the 21 st day of August, 2007, pursuant
to the provisions of Part 7 of Article 1 of Title 32, C.R.S., as amended. The territory
embraced within the District includes a portion of the Towns of Frederick and Firestone.
The territory embraced within the District is located entirely within Weld County,
Colorado.

The Petition states that the District and the S1. Vrain Sanitation District ("St.
Vrain") have entered into an agreement and developed a plan for the Dissolution of the
District (hereinafter "Dissolution Agreement"). Subject to the terms of the Dissolution
Agreement and the approval of the eligible electors of the District at an election, which
the District is requesting be held on November 6,2007, S1. Vrain has agreed to: (i) accept
ownership of all the assets and property of the District; (ii) assume all District liabilities
