<br />TIllS DEED, Made this 1st day of October, 1996. between Caryl R. Carroll nf the County
<br />of Brevard and State of Florida, GrantOr, and Carroll Davidson Pannership, Ltd.. a Florida limited
<br />partnership duly authorized to transact business in the State of Colorado, and whose legal address
<br />is 3525 Murrell Road, Suite 3-C, Rocldedge, FL 32955, Grantee.

<br />SPECIAL WARRANTY DEED

<br />WITNESSETH, That the Grantor, for and in consideration of the sum of ONE (and other
<br />good and valuable consideration) Dollars, the receipt and sufficiency of which is hereby
<br />acknowledged, has granted, bargained, sold and conveyed, and by these presents does grant,
<br />bargain, sell, convey and confinn unto the Grantee, its successors and assigns, forever, all the real
<br />property, together with improvements and appunenances, if any, situate, lying and being in the
<br />County of Rio Blanco and State of Colorado, described as follows:

<br />Any and all real property and appmtenances, including waters and water rights,
<br />easements and rights-of-way, as well as any federal, state and private agricultural
<br />and grazing rights, leases, pennits and privileges owned by Grantor and historically
<br />used by her in the operation of the Yellow Jacket Ranch located in Rio Blanco and
<br />Moffat Counties, Colorado and Uintah County, Utah. The portion of said ranch
<br />located in Rio Blanco County, Colorado and conveyed hereby is reasonably
<br />believed to be as described in Exhibits A to D, inclusive. which are attached hereto
<br />and by this reference incorporated herein. As to said federal, state and private
<br />leases, pennits and rights, it is understood that generally their transfer will be by
<br />separate instruments directed to the applicable govemmental or private entities,
<br />whicb entities may have discretion as to whether or not to pennit the transfer
<br />thereof.

<br />TOGETHER WITH all and singular the hereditaments and appunenances thereto belonging, or in
<br />anywise appertaining, and the reversion and reversions, remainder and remainders, rents, issues
<br />and profits thereof; and all the estate, right, tiUe, interest, claim and demand whatsoever of the
<br />Grantor, either in law or equity, of, in and to the above bargained premises, with the
<br />hereditaments and appurtenances;

<br />privileges (if any) appurtenant to and/or historically used in conjunction with the subject property,
