<br />. <br /> <br />. <br /> <br />15. Permits and Licenses <br /> <br />The Contractor shall procure all permits and licenses, pay all charges, fees and <br />taxes and incidentals that may be required for the lawful prosecution of the work. <br /> <br />16. Access to Documents <br /> <br />Subject to the provisions of the Colorado Open Records Act, Sections 24-72-101 et <br />seq., CRS, the Contractor shall be entitled to the full cooperation of the State with <br />regard to access to existing documents in the possession of or under the control of <br />the agency that may be reasonably required for the lawful prosecution of the <br />contract. <br /> <br />17. Ownership of Contract Documents <br /> <br />Any reports, studies, photographs, negatives or other documents or drawings <br />prepared by contractor in the performance of its obligations under this contract shall <br />be the exclusive property of the State. Such materials shall be delivered to the State <br />by the contractor upon completion, termination, or cancellation of this contract. <br />Contractor shall not use, willingly allow, or cause to have such materials used for <br />any purpose other than the performance of contractor's obligations under this <br />contract without the prior written consent of the State. <br /> <br />18. Termination of the Contract <br /> <br />The State shall have the right to terminate this contract for convenience by giving the <br />other party thirty (30) days prior written notice, If notice is so given, this Contract <br />shall terminate on the expiration of the thirty days, and the liability of the parties <br />hereunder for further performance of the terms of this contract shall thereupon cease, <br />but the parties hall not be released from the duty to perform their obligations up to the <br />date of termination. <br /> <br />The State may, after written notice to the Contractor, and at least ten (10) days <br />opportunity to cure the default or show cause why termination is otherwise not <br />appropriate, terminate the right of the Contractor to proceed with this Contract if: <br /> <br />A. It is found, after notice by the State, that gratuities in the form of entertainment, <br />gifts or otherwise were offered or given by the Contractor or any agent or <br />representatives of the Contractor to any officer or employee of the State with <br />views towards securing a contract or securing favorable treatment with respect to <br />awarding, amending or the making of any determinations with respect to the <br />performing of such contract. <br /> <br />8, The services of the Contractor, in the judgment of the State, are unsatisfactory or <br />because of the Contractor's failure to prosecute the work with diligence or within <br />the time limits specified. <br /> <br />If the agreement is terminated by the State, as provided herein, all finished or <br />unfinished documents, data, studies, surveys, drawings, maps, models, photographs, <br />and reports or other material prepared by the Contractor under the contract shall at <br />the option of the State, become its property, and the Contractor shall be entitled to <br />receive just and equitable compensation for any services and supplies delivered and <br /> <br />Page 5 of 9 <br />
