<br />. <br /> <br />. <br /> <br />9, Inteqration of Understandinqs <br /> <br />This contract is intended as the complete integration of all understandings between <br />the parties. No prior or contemporaneous addition, deletion, or other amendment <br />hereto shall have any force or effect whatsoever, unless embodied herein in writing. <br />No subsequent novation, renewal, addition, deletion, or other amendment hereto <br />shall have any force or effect unless embodied in a written contract executed and <br />approved pursuant to the State Fiscal Rules. <br /> <br />10, Severabilitv <br /> <br />To the extent that this contract may be executed and performance of the obligations <br />of the parties may be accomplished within the intent of the contract, the terms of this <br />contract are severable, and should any term or provision hereof be declared invalid <br />or become inoperative for any reason, such invalidity or failure shall not affect the <br />validity of any other term or provision hereof. The waiver of any breach of a term <br />hereof shall not be construed as waiver of any other term nor as a waiver of any <br />subsequent breach of the same term, <br /> <br />11, Assiqnment <br /> <br />Neither party may assign its rights or duties under this contract without the prior <br />written consent of the other party, <br /> <br />12, Bindinq on Successors <br /> <br />Except as otherwise expressly provided herein, this contract shall inure to the benefit <br />of and be binding upon the parties hereto and their respective successors and <br />assigns. <br /> <br />13. Other Contractor <br /> <br />The State may undertake or award other contracts for additional or related work, and <br />the Contractor shall fully cooperate with such other contractors and State <br />employees. The State may, at its discretion, permit review of Contractor's interim or <br />final written reports by other contractors who have been engaged to do related work. <br />The State may, at its discretion, request the Contractor to review the work of other <br />contractors and may, from time to time, require the Contractor to meet with other <br />contractors to discuss matters of mutual concern. <br /> <br />14. Proprietary Riqhts <br /> <br />The Contractor agrees to and does hereby grant to all State agencies, political <br />subdivisions of the State and the United States Government irrevocable, <br />nonexclusive, nontransferable and royalty-free license to use, according to law, any <br />material or article and use any method that may be developed as a part of the work <br />under this Contract. The Contractor shall be permitted to use, according to law, any <br />material or article and use any method that may be developed as a part of the work <br />under this Contract elsewhere in connection with work for any other political <br />subdivision of the State, as well as the United States Government. <br /> <br />Page 4 of 9 <br />
