<br />.. <br /> <br />.-. <br /> <br />policy exceptions 1 through 4, except that <br />Seller shall not have to pay for any surveys <br />which might otherwise be required. <br /> <br />ii. A certificate of, taxes due covering The Land <br />and, if applicable, any personal property <br />being transferred, prepared by the Treasurer <br />of the County of Prowers, State of Colorado. <br /> <br />iii. Copies of all items of record against The Land <br />as revealed by the title insurance commitment <br />required by subparagraph b.ii. above. <br /> <br />b. Seller hereby consents to and shall assist Buyer in <br />obtaining information relating to mortgages, deeds of <br />trust, encumbrances, liens, taxes, or adverse claims on <br />The Land or The Water Rights, and Seller shall authorize <br />any holder of su'ch mortgages, deeds of trust, <br />encumbrances, liens or adverse claims to release such <br />information to Buyer. Seller shall instruct the Company <br />to disclose to Buyer ownership records, contract rights, <br />engineering reports and other information related to The <br />Land and The Water Rights. <br /> <br />11. Conditions Precedent to Buver's Obliaation. <br /> <br />a. Buyer's obligation to purchase The Land and The Water <br />Rights and perform its obligations hereunder is expressly <br />conditioned upon the following: <br /> <br />i. <br /> <br />Buyer's satisfaction, in its sole <br />determination, with the results of an <br />environmental audit of The Land conducted by <br />Buyer at its expense within 60 days after <br />notice of its decision to exercise the Option. <br />Buyer shall have an additional 60 days after <br />receipt of the audit results to examine such <br />results and make its determination. <br /> <br />ii. <br /> <br />All of Seller's representations and warranties <br />shall .be true and correct as of the date of <br />this agreement and as of the Closing Date. <br />
