Execution of this agreement will not result in the breach <br />of any of the terms and conditions of or constitute a <br />default under any mortgage, lease, encumbrance or any <br />agreement or instrument to which Seller is a party or by <br />which Seller is bound. <br /> <br />g. Seller shall indemnify and hold harmless Buyer from <br />liability for any fees or commissions owing to any <br />broker, agent or finder pursuant to this transaction. <br />Any such claims for fees or commissions shall not affect <br />any of Seller's obligations under this agreement, <br />including Seller's obligation to close. Seller shall pay <br />all attorney fees incurred by Buyer because of any action <br />brought against Buyer or Seller by any real tor, broker or <br />other agent, which action is based on an alleged <br />agreement with Seller for sale of The Land or The Water <br />Rights. <br /> <br />9. Representations and Warranties of Buver. <br /> <br />a. Buyer is a corporation duly formed and validly existing <br />in the State of Colorado. <br /> <br />b. Buyer has all authority necessary to enter into this <br />agreement, and when executed and delivered th:'.s agreement <br />shall constitute a valid and binding obligation of Buyer, <br />enforceable in accordance with its terms. <br /> <br />c. Buyer has not retained any broker, agent or finder or <br />agreed to pay any commissions or finder's fees in <br />connection with this agreement. <br /> <br />10. Documents: <br /> <br />a. Within 45 days after notice of Buyer's intent to exercise <br />its Option to Purchase, Seller shall deliver to'Buyer at <br />Seller's expense the following items: <br /> <br />i. <br /> <br />A title insurance commitment, issued by <br />TransAmerica Title Insurance Company or any <br />other, title insurance company acceptable to <br />Buyer ("Title Company"), showing the status of <br />....:......,__ +-,... 1Tll-.......
