It appearing to the Court thilt the above-captioned District has been
duly organized pursuant to C.R.S., ~37-4S-109(2.Sl. and the Court being
empowered pursuant to C.R.S., B7-4S-114 to appoint a Board of Directors
of the District;

IT IS THEREFORE ORDERED, ADJUDGED AND DECREED that the
following residents and owners of real property in said District are hereby'
appointed members of the Board of Directors of said District for a term as
set forth and until their successors have been duly appointed and qual-
ified.

For a one-year term:
Dale B. Phippeny
John Proctor
Paul Redd

IT IS FURTHER ORDEFED that before entering upon their official
duties, each director shall take and subscribe to an oath before an officer
authorized to administer oaths, that he will support the Constitution of the
United States and the State of Colorado, and will honestly, faithfully, and
impartially, perform the duties of his office and that he will not be inter-
ested directly or indimctly in any contract let by said District, which oath
shall be filed with the Clerk of this Court.

IT IS FURTHER ORDERED thilt each director within thirty days after
he is qualified for his office shall furnish a corporate surety bond, at the
expense of the District, in the amount of One Thousand and 00/100 Dollars
($1,000.00), conditioned for the' faithful performance of his duties as such
director. =;

IT IS FURTHER ORDERED that each member of said board shall
receive no compensation for his services unless otherwise determined by
the board of directors, ~ except, for' necessary travel expenses actually
expended while engaged in the performance of their duties.
