Re: Contract between Paradox Valley Water Conservancy District and Colorado Water Conservation Board Dear Mr. McDonald: In regard to the above-referenced contract approved by the Paradox Valley Water Conservancy District at their meeting on August 7, 1985, please be advised as follows: 1. The signatures of Dale Phippeny, President, and Clint Oliver, Secretary, representing the Paradox Valley Water Conservancy District, are those persons duly appointed by the Board (see attached Exhibit "A"). 2. The persons signing for the Paradox Valley Water Conservancy District have been duly elected by the Board to act in their representative capacities (see attached Exhibit "B"), have the authority to bind the District, C.R.S., ~37-45-118(h), Bylaws, Art. II, ~2 (see Exhibit "C"). and that the contract has been approved at a Paradox Valley Water Conservancy District (see Exhibit "D"). 3. The Board of the Paradox Valley Water Conservancy District has the authority to enter into the contract without a vote of its residents as this contract comes within the "water supply exception" of the Colorado Constitution, Art. XI, ~6, C.R.S., ~37-45-118(h). 4. District contract There are no provisions in the Paradox Valley Water Conservancy charter nor in state or other legislation which would prevent this from binding the Paradox Valley Water Conservancy District. 5. The contract approved August 7, 1985, will be valid and binding against the Paradox Valley Water Conservancy District if entered into by the State of Colorado.
