r..�-\ ^-.. <br />Licensee may duplicate and distribute copies of the Software <br />and accompanying written materials to others as Sub-Licensees. At <br />the end of each calendar month following the date this Software <br />License Agreement becomes effective, Licensee will provide <br />Hydrosphere with a list of all new Sub-Licensees. <br />Licensee and its Sub\Licensees own the magnetic or other <br />physical medium on which the Software is originally or subsequently <br />recorded or fixed, but Hydrosphere retains title and ownership of <br />the Software recorded on the original disk copy(ies) and all <br />subsequent copies of the Software, regardless of the form or media <br />in or on which the original and other copies may exist. This <br />License is not a sale of the original Software or any copy. <br />Licensee and its Sub-Licensees may each maintain one copy of <br />the Software on a removable medium disk for an archive or backup <br />and may maintain in addition one copy of the Software on a fixed- <br />medium disk for•day-to-day use. This permission to copy is for the <br />sole purpose of backing-up the Software and protecting it against <br />inadvertent loss. <br />Licensee and its Sub-Licensees are each entitled to use the <br />Software on multiple computers at the same time so long a� those <br />computers are within the exclusive control of Licensee or Sub- <br />Licensee. <br />Licensee and its Sub-Licensees may not adapt, translate, <br />reverse engineer,•decompile, disassemble, or create derivative <br />works based on the Software; nor may Licensee and its Sub-Licensees <br />adapt, translate, or create derivative works based on the written <br />materials without the prior written consent of Hydrosphere. <br />Licensee shall be required to enter into a Software Licensing <br />Agreement with each and every Sub-Licensee which agreement shall <br />incorporate all the provisions of this Software License Aqreement. <br />Sub-Licensees are prohibited from transferring the SoPtware to <br />anyone without the prior written consent of Hydrosphere. <br />Furthermore, any authorized transferee of the Software shall be <br />bound by the terms and conditions of this Agreement. <br />V. TERMINATION <br />This License is effective until terminaCed. This License or <br />any corresponding Sub-License will terminate automatically without <br />notice from Hydrosphere if Licensee or its Sub-Licensee fails to <br />comply with any provision of this License. Upon termination of <br />this License, Licensee shall return all copies of the Software in <br />its possession to Hydrosphere and shall notify all Sub-Licensees <br />that this License has been terminated and that all copies of the <br />Software in the possession of Sub-Licensees should be returned to <br />Hydrosphere. In the event of termination of a Sub-License, the <br />Sub-Licensee shall return all copies of the Software in its <br />possession to Hydrosphere. <br />
