„' \ <br />• , i <br />Exhibit B <br />SOFTWARE LICENSE AGREEMENT <br />GOVERNING THE USE OF <br />THE PLATORO RESERVOIR OPERATIONS MODEL <br />I. GRANT OF LICENSE <br />In consideration of payment of the License fee, which is an <br />indistinguishable and inseparable part of the overall fee paid to <br />Hydrosphere Resource Consultants, Inc. ("Hydrosphere”) for work <br />described in the Agreement for Consulting and Software Develop�� <br />Services, Hydrosphere grants to _��Pins GUa,�ll' �Sev�/,�o <br />("Licensee"), a nonexclusive right to se and distribute pies of <br />the Platoro Reservoir Operations Model (a Aydrosphere computer <br />program hereinafter referred,to as the "Software") subject to the <br />limitations described below. <br />II. DESCRIPTION OF SOFTWARE <br />The software consists of several inter-related computer <br />programs and input data files which are exact copies of the <br />programs and files developed under the Scope of Services contained <br />in the Agreement for Consulting and Software Develapment Services <br />to which this Agreement is attached. The Software permits the <br />duplication of the model operations and results depicted in the <br />documents developed under that Scope of Services. The Software <br />also provides the flexibility, through read/write access to <br />selected files, to perform a variety of analyses not presented in <br />those documents. <br />III. COPYRIGHT PROTECTION <br />The Software contains trade secrets owned by Hydrosphere and <br />is protected by IInited States Copyright Law and must be treated, <br />with certain exceptions described below, just like a book or any <br />other copyrighted document. <br />IV. TERMS AND RESTRICTIONS <br />The term of this license begins upon acceptance of the <br />Software by Conejos Water Conservancy District as described in the <br />Scope of Services. <br />This License specifically prohibits the use of the Software <br />for any purposes other than the analysis of new developments, <br />alternative hydrology and demands, and modifications to water <br />system operating procedures in the Conejos River Basin. <br />
