.�� .. <br />�' <br />This License specifically prohibits the use of the Software <br />for any purposes other than the analysis of new developments, al- <br />ternative hydrology and demands, and modifications to water sys- <br />tem operating procedures in the Conejos River Basin. <br />Licensee may duplicate and distribute copies of the Soft- <br />ware and accompanying written materials to others as Sub- <br />Licensees. At the end of each calendar month following the date <br />this Software License Agreement becomes effective, Licensee will <br />provide Hydrosphere with a list of all new Sub-Licensees. <br />Licensee and its Sub-Licensees own the magnetic or other <br />physical medium on which the Software is originally or subse- <br />quently recorded or fixed, but Hydrosphere retains title and own- <br />ership of the Software recorded on the original disk copy(ies) <br />and all subsequent copies of the Software, regardless of the form <br />or media in or on which the original and other copies may exist. <br />This License is not a sale of the original Software or any copy. <br />Licensee and its Sub-Licensees may each maintain one copy <br />of the Software on a removable medium disk for an archive or <br />backup and may maintain in addition one copy of the Software on a <br />fixed-medium disk for day-to-day use. This permission to copy is <br />for the sole purpose of backing-up the Software and protecting it <br />aqainst inadvertent loss. <br />Licensee and its Sub-Licensees are each entitled to use the <br />Software on multiple computers at the same time so long as those <br />computers are within the exclusive control of Licensee or Sub- <br />Licensee. <br />Licensee and its Sub-Licensees may not adapt, translate, <br />reverse engineer, decompile, disassemble, or create derivative <br />works based on the Software; nor may Licensee and its Sub- <br />Licensees adapt, translate, or create derivative works based on <br />the written materials without the prior written consent of <br />Hydrosphere. <br />Licensee shall be required to enter into a Software Licens- <br />ing Agreement with each and every Sub-Licensee which agreement <br />shall incorporate all the provisions of this Software License <br />Agreement. Sub-Licensees are prohibited from transferring the <br />Software to anyone without the prior written consent of <br />Hydrosphere. Furthermore, any authorized transferee of the Soft- <br />ware shall be bound by the terms and conditions of this Agree- <br />ment. <br />-2- <br />
