All computer programs, codes, and analytical tools which are created or used by Hydrosphere in the performance of this Agreement and which are general in nature and not specific to the Conejos River basin, shall remain the property of Hydrosphere and may be subsequently used by Hydrosphere without restriction. Copies of all computer programs, codes and analytical tools that are created by Hydrosphere in the performance of this Agreement and which are specific to the Conejos River basin shall be delivered to the District at the expense of Hydrosphere. — VI=I SOFTWARE LICENSING AND DISTRIBIITION The Model will be developed using a proprietary modeling system developed by Hydrosphere. This modeling system is called the Central Resource Allocation Model ("CRAM").. The CRAM network modeling system is analogous to Lotus 1-2-3� in that, by itself, it is not a model. It becomes a model by the imposition of information specific to the system being modeled in much the same way that Lotus becomes a spreadsheet by filling in cells with specific data and formulas. When one purchases Lotus 1-2-3�, he obtains a license to use the Lotus software in developing his own spreadsheets. This license places certain restrictions on the modification of the software and its transfer to others, yet provides enormous flexibility in the creation, use, and distribution of spreadsheet files. Upon delivery of the Model to the District and in consideration for its fees received in the project, Hydrosphere will grant a General Software License for the use of the CRAM software system to the District and to the Colorado Water Conservation Board. This General Software License, attached hereto as Appendix C is analogous to the Lotus 1�2-3TM license described above; it places certain limits on the unauthorized copying and use of the underlying CRAM software system but provides substantial flexibility in the use of the Model to analyze new developments, alternative hydrology and demands, and modifications to system operating procedures. The General Software License permits the District to duplicate and distribute the Model (including underlying executable CRAM software) to an unlimited number of end users under a sub-license arrangement. Hydrosphere recognizes that certain work conducted under this Agreement may contain or result in the generation of, information which the District may wish to keep confidential. Hydrosphere shall respect this confidentiality and shall not provide copies of any work product owned by the District to any other party without the prior written consent of the District. E
