. �. Hydrosphere employee� in carrying out the work-related tasks under this Agreement. The District will not require Hydrosphere to acquire or maintain professional liability or errors and omissions insurance to conduct the work. The District agrees to limit Hydrosphere's professional liability to the District, due to errors and omissions by Hydrosphere employees in carrying out work-related tasks under this Agreement, to the amount of fees paid to Hydrosphere by the District. Hydrosphere shall indemnify and hold harmless the District and the Colorado Water Conservation Board from actions resulting from acts of negligence or intentional misconduct by Hydrosphere or its agents or employees arising from work under this Aqreement, where such acts or misconduct are reasonably within the direct control of Hydrosphere or its agents or employees. VII OWNERSHIP OF WORR PRODIICT The following final work products are deliverable to the District and to the Colorado Water Conservation Board under this Agreement: A. A reproducible copy of the planning model that can be utilized on a personal computer; B. A user's manual for the model which includes explanations of the scope, assumptions, uses, limitations, etc. The assumptions pertaining to river administration, reservoir operations, and synthetic stream flow development will be fully documented and clearly stated. Instructions on input, along with examples of model generated output and interpretation shall be included. Al1 information generated shall be provided in a format which will be conducive to a better understanding of Conejos River basin water resources by the District and the State Engineer. Model outputs will be generated in a format which will allow for an economic evaluation of forecasted stream flow and storage content.to assist individual water users and the District with decision making about whether to rely on direct flow water rights or to use Platoro Reservoir storage water in the upcoming irrigation season. Except as defined below, these final work products will become the property of the District. A11 information, data and analyses gathered, generated or otherwise produced by Aydrosphere or its subcontractors or consultants, in the performance of this Agreement; all analyses in whatever form, published reports, articles and documents of any nature; written, typed and printed products; not found in the public domain, shall become the property of the District and shall be delivered to it by Hydrosphere, at the expense of Hydrosphere.
