WHEREAS, authority exists jn the L'Iw and Funds have been budgeted. appropriated and otherwise made
available and a sufficient unencumbered balance thereof remaim available for paym€'nl in Fund Number 4008 ,

WHEREAS. requited approval. c!('ar;mce and coordination has been accomplished from and with appropriatE'
agencies: and

WHEREAS. '3 pursuant to the prov1s1ons of 37-60-119, Colorado
Revised Statutes 1973, as amended, the Colorado Water Conservation
Board id authorized to construct certain water projects for the
benefit of the people of the State of Colorado; and

WHEREAS, the Town of Basalt has made application to the Colorado
Water Conservation Board for the construction of a water project for
the purpose of improving its municipal water supply; and

WHEREAS, the Contractor is a professional engineering firm within
the State of Colorado and has previously done considerable water-
related work for the Town of Basalt and various other municipalities
in Colorado;

NOW THEREFORE, it is hereby agreed that

1. The Contractor agrees to prepare a feasibility report directed
to the problem of improving the municipal water of the Town of Basalt
in accordance with a proposal for project feasibility report prepared
by the Contractor and approved by the Colorado Water Conservation
Board, received August 02, 1977, which proposal is attached hereto as
Appendix A and made a part of this contract.

2. Fifteen (15) copies of the report called for in this contract
shall be furnished to the State not later than September 30, 1977,
unless such time is extended by mutual agreement of the parties hereto.

3. As compensation for the services of the Contractor, the State
agrees to pay the Contractor the sum of Two Thousand Five Hundred
Dollars ($2,500) in the manner following:

a. Sixty percent (60%), to wit, One Thousand Five Hundred
Dollars ($1,500) of the total amount due in two (2) monthly
installments of Seven Hundred Fifty Dollars ($750) each,
commencing on September 15, 1977.

b. The remaining forty percent (40%), to wit, One Thousand
Dollars ($1,000) within thirty (30) days following receipt and
acceptance of the written report specified in paragraph 2 of
this contract.

4. The total cost of se~\lices to be rendered by tht ContLa~t0r
is Five Thousand Dollars ($5,000) and the Town of Basalt shall pay the
sum of Two Thousand Five Hundred Dollars ($2,500) as agreed to by
letter dated August 03, 1977, which letter is hereby attached hereto
and made a part of this contract as Appendix B; and in no event shall
this payment be the liability of the State of Colorado.

5. This contract is personal in nature and assignment of
performance by the Contractor to another is prohibited unless prior
approval in writing is granted by the State.

6. The Contractor is an independent Contractpr and as such is
not entitled to any benefits of the State personnel system.
