ARTICLE 1.

Sec. 1. The officers of this company shall consist of a
President, Vice-President, Secretary and Treasurer.
Sec. 2. The Board of Directors shall appoint a Superinten-
dent, and have po~er to appoint any and all additional officers or
emp:orees required to properly perform the duties of said company.
ARTICLE 11.

Sec. 1. The Board,of Directors shall be elected at the annual
meeting of the stockholders. The annual mMtine; sl1'111 1", held on
the second Monday in February in each year, notice of which meeting
shall be sent to each member by mail thirty days previous to the

election, and the annual meeting of the Board of Directors, for
organization shall be held on the same day as the stockholders'

meeting.

Sec. 2. Each director must be a bona fide holder of a share

of stock of the company at the time of his election.

ARTICLE 111.

Sec. 1. The President shall preside at all of

the'directors or stockholders and he shall sign, as

the meetings of

certificates of stock, all contracts and other instruments of

writing which shall have been approved by the Board of Director..
He shall call the directors together when he deems it necessary.
In the absense of the President, the Vice-President shall perform

his duties.

Sec. 2. The secretary shall keep correct minutes of the meet-
ings of the stoekholders and directors and perform all clerical work

necessary in the discharge of the duties of the office.
Sec. J. The freasurer shall receive and safely keep all
funds entrusted to his care, and shall payout money only on the

order of the President.

Sec. 4. The Superintendent shall have a general supervision

of the compants ditc~ and care for the same carefully and recon-

struct the Same when necessary. Excepting in case of accident,
