These amended articles of <br />incorporation were adopted at a meeting of all members of the <br />corporation duly called and held in Lamar, Colorado, on <br />September , 1998. A quorum of members was present at such <br />meeting in person or by proxy. The amended articles of <br />incorporation received at least two-thirds of the votes which <br />members present at the meeting or represented by proxy were <br />entitled to cast, and was declared adopted. These amended articl,es <br />of incorporation supersede' and replace the articles of <br />incorporation adopted on May 30, 1990. <br /> <br />B. Effective Date.
