<br />._',...-:....- ,:J <br /> <br />~ <br /> <br />. <br /> <br />AGREEMENT <br /> <br />THIS AGREEMENT is dated , 1986, and is <br />between the State of Colorado acting by and through the <br />Colorado Water Conservation Board (State) and Grand Valley <br />Irrigation Company (Contractor). <br /> <br />RECITALS: <br /> <br />A. The Department of Interior, acting by and through <br />the Bureau of Reclamation (Bureau) has granted to the State <br />certain funds for the purpose of implementing Stage II of <br />the Salinity Control Program for the Grand Valley Unit pursuant <br />to 43 U.S.C. S 1571, et~. (Public Law 93-320, as amended <br />by Public Law 98-569). <br /> <br />B. The State and the Bureau request Contractor to <br />undertake certain preliminary actions and the incurring of <br />certain expenses and obligations in order to prepare itself <br />to conduct activities of Stage II. <br /> <br />C. The State has promised to compensate and reimburse <br />Contractor for expenses paid or incurred for the purpose of <br />the preliminary activities, and the parties desire a written <br />agreement in order to memorialize the same. <br /> <br />NOW THEREFORE, the parties agree: <br /> <br />I. Contractor agrees to conduct certain preliminary <br />activities to prepare itself for Stage II, including preparation <br />of estimates of time and expense and negotiating an agreement <br />for Stage II activities. <br /> <br />2. State shall reimburse and compensate Contractor for <br />actual expenses paid or incurred for preliminary Stage II <br />activities, including the following: <br /> <br />- time and expenses of Contractor's Board members <br />and officers; <br /> <br />- time and expenses of Contractor's salaried employees <br />and administrative personnel; and <br /> <br />- time and expenses of Contractor's attorneys and <br />accountants. <br /> <br />3. <br />1986, at <br />extended <br />incurred <br /> <br />This Agreement shall be in effect to February 28, <br />which time it shall expire by its own terms unless <br />by mutual written agreement. All expenses paid or <br />by Contractor for preliminary Stage II activities <br />
