AGREEMENT

THIS AGREEMENT is dated , 1986, and is
between the State of Colorado acting by and through the
Colorado Water Conservation Board (State) and Grand Valley
Irrigation Company (Contractor).

RECITALS:

A. The Department of Interior, acting by and through
the Bureau of Reclamation (Bureau) has granted to the State
certain funds for the purpose of implementing Stage II of
the Salinity Control Program for the Grand Valley Unit pursuant
to 43 U.S.C. S 1571, et~. (Public Law 93-320, as amended
by Public Law 98-569).

B. The State and the Bureau request Contractor to
undertake certain preliminary actions and the incurring of
certain expenses and obligations in order to prepare itself
to conduct activities of Stage II.

C. The State has promised to compensate and reimburse
Contractor for expenses paid or incurred for the purpose of
the preliminary activities, and the parties desire a written
agreement in order to memorialize the same.

NOW THEREFORE, the parties agree:

I. Contractor agrees to conduct certain preliminary
activities to prepare itself for Stage II, including preparation
of estimates of time and expense and negotiating an agreement
for Stage II activities.

2. State shall reimburse and compensate Contractor for
actual expenses paid or incurred for preliminary Stage II
activities, including the following:

- time and expenses of Contractor's Board members
and officers;

- time and expenses of Contractor's salaried employees
and administrative personnel; and

- time and expenses of Contractor's attorneys and
accountants.

This Agreement shall be in effect to February 28,
which time it shall expire by its own terms unless
by mutual written agreement. All expenses paid or
