It is agreed that the rate of <br />compensation and reimbursement shall be as follows: <br /> <br />Contractor's board members and officers: <br />$ per hour; <br /> <br />Legal Services at the rate of $ <br />for attorneys and $ for paralegals; <br /> <br />Contractor's superintendent or managers <br />at the rate of $ per hour; <br /> <br />Contractor's clerical or administrative <br />staff at the rate of $ per hour; <br /> <br />Contractor's accounting services <br />at the rate of $ per hour; and <br /> <br />Travel costs at the rate of $ <br /> <br />per mile. <br /> <br />The State <br />Contractor <br />of $ <br /> <br />shall not be obligated to compensate or reimburse <br />for costs and expenses exceeding the aggregate amount <br /> <br />3. Submission of Contractor's Statements. Contractor <br />shall submit to the State itemized statements which provide <br />reasonable detail of the costs and expenses paid or incurred by <br />Contractor pursuant to this Agreement. These statements shall <br />include the categories and units set forth in paragraph 2, as <br />well as all other costs and expenses. These statements shall be <br />submitted to the State no less frequently than once a month <br />commencing on the first day of the month following the date of <br />this Agreement. The State shall promptly review and process for <br />payment all statements so received. Payments shall be made to <br />Contractor at the address given in paragraph 6 below on or before <br />thirty (30) days following those statements timely submitted. <br /> <br />4. Independent Contractor Status. Contractor is an <br />independent contractor, and not an employee of the State. As <br />such, Contractor employs its own employees and agents, which are <br />not entitled to any of the benefits of the personnel system of <br />the State. <br /> <br />5. Termination. This Agreement may be terminated by <br />either party, with or without cause, effective fifteen (IS) days <br />following notice of termination given by either party. In the <br />event the Agreement is so terminated, the State shall compensate <br />and reimburse Contractor for all costs and expenses paid or <br />incurred up to and including the effective date of termination. <br /> <br />4 <br />
