<br />. <br /> <br />. <br /> <br />to determine whether such procedures achieve a level of <br />financial accountability sufficient to administer a <br />cooperative construction agreement with the Bureau in <br />compliance with Circular A-I02 (Office of Management <br />and Budget) accounting procedures. The results of this <br />accounting review will be provided to the State by <br />Contractor in the form of a letter report from <br />Contractor's accountant, said report to be provided to <br />the State not later than April 1, 1986. <br /> <br />C. In the event Contractor's organizational <br />documents need be amended, modified or changed in any <br />respect in order for it to undertake the activities <br />contemplated by the salinity control program, or if <br />Contractor's accounting and bookkeeping procedures need <br />be modified or changed in order to comply with Circular <br />A-I02, then Contractor shall exercise its best efforts <br />to cause such amendments, changes or modifications to <br />be implemented and completed on or before December 31, <br />1986, and, by letter report made not later than <br />December 31, 1986, inform the State of the changes so <br />made. <br /> <br />D. Contractor shall negotiate with the Bureau <br />for the purpose of developing an agreement, approved as <br />to form, which, when executed, will obligate Contractor <br />to undertake and perform salinity control measures <br />pursuant to such contract and the Act, subject to <br />availability of the United States Congress funding <br />through appropriation. <br /> <br />In the event the legal review states that it is necessary for <br />Contractor to obtain the consent of its shareholders, members or <br />electors, or in the event legislative amendments are necessary, <br />then Contractor's obligations hereunder shall be conditioned upon <br />obtaining such approval and/or legislative amendments. In the <br />event Contractor's legal review states that amendments to state <br />statutes are necessary before Contractor can undertake salinity <br />control activities, then the Board agrees to undertake and use <br />its best efforts to cause legislation to be initiated and enacted <br />for the purpose of amending state statutes. . <br /> <br />2. Compensation and Reimbursement for Costs. The State <br />shall compensate and reimburse Contractor for all costs and <br />expenses actually paid or incurred in the performance of the <br />activities for Stage II described in paragraph 1 hereof, the <br />term "costs and expenses" to not only include those costs and <br />expenses paid or incurred to third parties such as Contractor's <br />attorneys or accountants, but also the value of the time and <br />internal office and overhead expenses for board members, <br /> <br />3 <br />
