This is <br />contract #34-04-001 in the amount o'f $30,254.00. <br /> <br />After having carefully examined the contract, the articles and <br />byl aws 0 f Summi t Reservoi r and I rri ga t i on Company, I am of the <br />opinion that: I ' <br />I , <br /> <br />1. The sign!ature of the person signing for the entity is <br />that of an official, duly elected by the membership. <br />I ' <br />2. The individuals executi'ng the contract on behalf of <br />Summi t Reservoir and Irrigation ,Company have the authori ty to <br />bind the SUllUIlit Re~ervoir and Irrigation Company and the contract <br />has been validly japproved by the Board of Directors of the <br />Company. A copy o'f that portion of the minutes relating to this <br />transaction is attached to this letter. <br />I <br />3. The Company has the authority to enter into the <br />contract without ia vote of its' stockholders. A copy of the <br />minutes of the 198:5 annual meeting. which gave the Directors the <br />power to take such I action is attached. <br />, <br />4.
