<br />of the Cache la poudre Project dated January 1, <br />1982. The coverages provided by this policy to <br />the. said State or any other. additional insured <br />shall .not be terminated, reduced or substantially <br />changed without providing at least thirty (30)' <br />days prior written notice to the State. <br /> <br />.14. Indemnification - The Contractor hereby agrees to save <br />harmless and defend the State from all claims and liability' for <br />which. the Contractor has legal liability arising .out of the <br />negligent acts, errors, or omissions of the Contractor, its <br />agents and/or employees in performing the work required by this <br />contract; provided, however, such defense, indemnification and <br />hold harmless shall not exceed .the sum of the amounts paid to or. <br />on behalf of the Contractor as the proceeds of 'any applicable <br />insurance plus the deductible amount of spch insurance, as <br />described above in paragraph 13. <br /> <br />-, <br /> <br />15. This contract shall automatically terminate on March 1, <br />1983, unless. extended in' wri ting by mutual agreement of the <br />parties hereto. This contract may be terminated, with or without <br />cause, by either party. upon fifteen. days. notice in writing to' the <br />other party. <br /> <br />16. All analyses' in whatever form; publ~shed reports, <br />articles, and documents of any nature; written, typed, and <br />printed.products; visual aids; computer programs and associated <br />. input and output datai and -all other .information and data <br />gathered, generated, or otherwise produced by the Contractor and <br />its consultants and subc'ontracto.rs during the performance of thi-s <br />contract shall become the property of the State and shall be <br />deTivered to_ the .State by the Contractor, at its expense, upOI) <br />demand at any time prior to or after the terminat'ion of this <br />contract. One or more copies of all doc'uments prepared under <br />this contract may be retained by the Contactor for its use.' <br /> <br />17. The'State will provide assistance to the Contractor by <br />furniShing the data and serv~ces listed. below, at the time or <br />times required during the course of the investigations and <br />studies for ~hich this contract calls, to wit: <br /> <br />A.. All legal services on behalf of the State. <br /> <br />B. Rights' of entry to lands for exploration .and <br />reconnaissance, <br /> <br />C. Related project data available in State files. <br /> <br />,D. Related project data available from other governmental <br />agencies. <br /> <br />18. If any part of this contract, including, but not limited <br />to, any exhibit, provision, paragraph, clause, phrase or words, <br />is found to be in conflict with applicable la,,?s, such part shall <br />be. inoperative, null and .void insofar as it is in" conflict with <br />said laws, but the. remainder of the conract shall be given full <br />force and effect. <br /> <br />19. All notices, directives and approvals relating to this <br />contact shall be in written for~ delivered in person or by . <br />Registered or Certified United States Mail, postage prepaid,' to <br />the Contactor or to the State to the attention of the respective <br />project manager at the last business address of' the principal <br />office of the addressee known to the sender4 <br /> <br />20, At all times dur.ing the performance of this contract, the <br />Contractor shall strictly adhere to all applicable' federal and <br />state laws that have been or may hereafter be established. <br /> <br />page 6 of 9 Pages <br />
