Indemnification - The Contractor hereby agrees to Sdve <br />harmless and defend the State from all claims and liability <br />for which the Contractor has legal liability arising out. of <br />the negligent acts, errors, or omissions of the Contractor, <br />its agents and/or employees in performing the work required <br />by this contract; provided, however, such defense, tndemnl- <br />f leat Ion dnd hold harmless shall not exceed the sum of the <br />amounts paid to or on behalf of the Contractor as the <br />proceeds of any applicable Insurance plus the deductible <br />amount of such insurance, as described above in paragraph <br />13 hereof. <br /> <br />/ <br /> <br />B. Limitation of Liability - All other provisions of this <br />contract to the contrary notWithstanding, the State will <br />1 tmlt any and all cIa lms of the State against the Contractor <br />its partners, officers, agents, employees or servants, to an <br />amount not to exceed the Sum of the proceed s of any <br />applicable insurance plus the deductible amount of such <br />insurance, as described above in paragraph 13 hereof, or <br />$250,000, whichever is greater. . <br /> <br />, <br /> <br />15. This contract shall automatically terminate on March 1, <br />1983, unless extended in writing by mutual agreement of the <br />parties hereto. This contract may be terminat-ed, with or without <br />cause, by either party upon f~fteen days notice in writing to the <br />other party. <br /> <br />16. All analyses in whatever form; pUbliShed reports, <br />articles, and documents of any nature; written, typed, and <br />printed products; visual aids; computer programs and associated <br />input and output data; and all other information and data <br />gathered, generated, or otherwise produced by the Con-tractor and <br />its consultants and subcontractors during the performance of this <br />contract shall become the property of the State and shall be <br />delivered to the State by the Contractor, at its expense, upon <br />demand at any time prior to or after the termination of this <br />contract. One or more copIes of all docume~ts prepared under <br />this contract may be retained by the Contractor for its use. <br /> <br />17. The State will provide assistance to the Contractor by <br />furnishing the data and services listed below at the time or <br />times required during the Course of the investtgatlons and <br />studies for which this contract calls, to wit: <br /> <br />A. <br /> <br />All legal services on .behalf of the State. <br />i <br /> <br />B. Rights of entry to lands for exploration and <br />reconnaissance. <br /> <br />\ <br />C. Related project data available In State flIes. <br /> <br />D. Related project data available from other governmental <br />agencIes. <br /> <br />18. If any part of this contract, including, but not llmited <br />to, any exhibit, provision, paragraph, clause, phrase or words, <br />is found to be in conflict with applicable laws, such part shall <br />be inoperative, null and void insofar as It is in confl.ict with <br />said iaws, but the remainder of the contract shall be gIven full <br />force and effect. <br /> <br />19.
