A. Performance of Grant. See Attachment 1, Scope of Work.
B. Time of performance. The effective date of this Contract is the date the State Controller
or his designee signs the contract. The CONTRACTOR shall be responsible for the
completion of the tasks listed in the Scope of Work before June 30, 2004.
C. Disbursement of funds. The CWCB shall disburse funds as noted in Attachment 1 in an
amount not to exceed $150,000. At the completion of each task, the Foundation may
submit written requests for payments in compliance with the scope of work (see
Attachment 1).
D. Termination of contract. The State shall review the activities of the Foundation annually
and is authorized to cease providing moneys in the following fiscal year if in its discretion,
after providing notice to the Grantee, the State determines the purposes for which the
water education foundation was established have ceased.
E. Termination of contract for cause. If, by any cause, the Foundation fails to fulfill in a
timely and proper manner its obligations under this Grant, or if the Foundation violates any
of the provisions of this contract, the CWCB acting for the State shall thereupon have the
right to terminate this contract for cause by giving written notice to the Foundation of such
termination and specifying the effective date thereof, at least 30 days before the effective
date of such termination. In its discretion, CWCB may notify the Foundation of any cause
for termination and allow the Foundation a reasonable amount of time, set by CWCB, for
performance satisfactory to CWCB. In the event of termination, the Foundation shall
provide the CWCB with copies of all documents related to the establishment of the
Foundation and any products or materials produced. The Foundation shall provide such
copies to the CWCB within 30 days of the effective date of such termination. Upon
submittal to the CWCB of a statement of costs for the period preceding the effective date of
the termination of this contract, the Foundation shall be entitled to receive payment for any
documents, products and materials that have been prepared before the effective date of
termination of this Grant. The CWCB acting for the State shall allow the Grantee 30 days in
which to cure any such failure or violation, or commence to cure any such failure or violation
(if the failure or violation cannot be cured within 30 days), prior to termination for cause
under this paragraph.
F. Severability. To the extent that this Grant Award is executed and the Foundation performs
its obligations, the terms of this contract are severable. Should any term or provision hereof
be declared invalid or become inoperative for any reason, such invalidity or failure shall not
affect the validity of any other term or provision hereof. The waiver of any breach of a term
hereof shall not be construed as waiver of any other term.
G. Assignment. Neither party may assign its rights or duties under this contract without the
prior written consent of the other party.
H. Integration of all understandings. This contract is intended as the complete integration of
all understandings between the parties. No prior or contemporaneous addition, deletion, or
other amendment hereto shall have any force or affect whatsoever unless embodied herein
in writing. No subsequent novation, renewal, addition, deletion, or other amendment hereto
shall have any force or effect unless embodied in a written contract executed and approved
pursuant to State fiscal rules.
