<br />. <br /> <br />. <br /> <br />discretion, after providing notice to the Grantee, the State determines the purposes <br />for which the water education foundation was established have ceased. <br /> <br />F. Termination of contract for cause. If, by any cause, the Grantee fails to fulfill in a <br />timely and proper manner its obligations under this Grant, or if the Grantee violates any <br />of the provisions of this contract, the State shall thereupon have the right to terminate <br />this contract for cause by giving written notice to the Grantee of such termination and <br />specifying the effective date thereof, at least 5 days before the effective date of such <br />termination. In that event, the Grantee shall provide the CWCB with copies of all <br />documents related to the establishment of the Foundation and any products or <br />materials produced. The Grantee shall provide such copies to the State within 30 days <br />of the effective date of such termination. Upon submittal to the State of a statement of <br />costs for the period preceding the effective date of the termination of this contract, the <br />Grantee shall be entitled to receive payment for any documents, products and <br />materials that have been prepared before the effective date of termination of this <br />Grant. The State shall allow the Grantee 30 days in which to cure any such failure or <br />violation, or commence to cure any such failure or violation (if the failure or violation <br />cannot be cured within 30 days), prior to termination for cause under this paragraph. <br /> <br />G. Severability. To the extent that this Grant Award is executed and the Grantee <br />performs its obligations, the terms of this contract are severable. Should any term or <br />provision hereof be declared invalid or become inoperative for any reason, such <br />invalidity or failure shall not affect the validity of any other term or provision hereof. <br />The waiver of any breach of a term hereof shall not be construed as waiver of any <br />other term. <br /> <br />H. Assignment. Neither party may assign its rights or duties under this contract without <br />the prior written consent of the other party, except, the Grantee may assign its rights <br />and duties to a newly established Colorado Foundation for Water Education upon the <br />execution of an agreement between the Grantee and an officer or officers of the <br />Foundation who has the right to obligate the Foundation to perform under the terms of <br />this Grant. <br /> <br />I. Integration of all understandings. This contract is intended as the complete <br />integration of all understandings between the parties. No prior or contemporaneous <br />addition, deletion, or other amendment hereto shall have any force or affect <br />whatsoever unless embodied herein in writing. No subsequent novation, renewal, <br />addition, deletion, or other amendment hereto shall have any force or effect unless <br />embodied in a written contract executed and approved pursuant to State fiscal rules. <br /> <br />J. Captions. The captions and headings contained in this contract are for convenience <br />and reference only and shall not be construed so as to define or limit the terms or <br />provisions contracted herein. <br /> <br />K.
