These officials have the authority <br />to bind the company. This contract has been validly approved by <br />the company's governing body. Certified copies of the minutes of <br />the board meeting authorizing this are attached. <br /> <br />The board of directors has the authority to enter into this <br />contract without a vote of its shareholders. There are no <br />provisions in the company's code or charter or any other state or <br />local law that prevent this contract from binding the company. <br />This contract will be binding and valid against the company if <br />entered into by the State.
