Quorum: A majority of the number of directors <br />fixed by these bylaws shall constitute a quorum for the <br />transaction of business at all meetings of the board of <br />directors. The act of a majority of the directors present <br />at any meeting at which a quorum is present shall be the act <br />of the board of directors, except as otherwise specifically <br />required by law or these bylaws. <br />9. Waiver: A written walver of notice signed by <br />a director entitled to notice, whether before, at, or after <br />the time of the meeting stated therein, shall be equivalent <br />to the giving of notice. Attendance of a director at a <br />meeting shall constitute a walver of notice of such meeting, <br />except where a director attends a meeting for the express <br />purpose of objecting to the transaction of any business <br />because the meeting is not lawfully called or convened, <br />10. Attendance by Telephone: Any director shall <br />be deemed present at a meeting of directors if that director <br />is present by conference telephone or similar communications <br />equipment which allows all participants to hear and be heard <br />by each other or otherwise participate immediately, fully <br />and continuously during the meeting. <br />11.
