Vacancies: Any vacancy occurring on the <br />board of directors shall be filled by the affirmative vote <br />of a majority of the remaining directors. A director <br />elected to fill a vacancy shall hold office during the <br />unexpired term of his predecessor in office. <br />6. Meetings: Meetings of the board of directors <br />may be called by the president or any two members of the <br />board of directors other than the president. Such meetings <br />shall be held at any reasonqble time and place as determined <br />by the president or the calling directors. <br />7. Notices: Notice of a directors' meeting <br />stating the date, hour and place of such meeting shall be <br />given to each member of the board of directors by the <br />secretary, the president or the members of the board calling <br />the meeting. The notice may be deposited in the United <br />states mail at least seven days before the meeting addressed <br />to the director at the last address he has furnished to the <br />company for this purpose, and any notice so mailed;shall be <br />deemed to have been given at the time it ~s mailed. Notice <br />may also be given at least two days before the meeting in <br />person, or by telephone, prepaid telegram, telex, cablegram <br />or radiogram, and such noti~e shall be deemed to have been <br />given at the time when the personal or telephone conversation <br />occurs, or when the telegram, telex, cablegram or radiogram <br />is either personally delive~ed to the director or delivered <br /> <br />~ <br />
