WHEREAS, authority exists in the Law and Funds have been budgeted, appropriated and otherwise made

WHEREAS. required approval. clearance and coordination has been accomplish{'d from and with appropriate
agenci{'s; and

WHEREAS. "pursuant'to the provisions of 37-60-119, Colorado Revised
Statutes 1973, as'amended, the Colorado Water Conservation Board is
authorized to construct certain water projectS for the benefit of the
people of the State of Colorado; and

WHEREAS, the Town of Hudson has made application to the Colorado
Water Conservation Board for the construction of a water project for
the purpose of improving its municipal water supply; and

WHEREAS, the Contractor is a professional engineering firm within
the State of Colorado and has previously done considerable water-related
work for the Town of Hudson and various other municipalities in Colorado;

NOW THEREFORE, it is hereby agreed that

1. The Contractor agrees to prepare a feasibility report directed
to the problem of improving the municipal water of the Town of Hudson
in accordance with a proposal for project feasibility report prepared
by the Contractor and approved by the Colorado Water Conservation
Board, received March 25, 1977, which proposal is attached hereto as
Appendix A and made a part of this contract.

2. Fifteen (15) copies of the report called for in this contract
shall be furnished to the State not later than July 30, 1977, unless
such time is extended by mutual agreement of the parties hereto.

3. As compensation for the services of the Contractor, the State
agrees to pay the contractor the sum of Three Thousand Nine Hundred
Twenty-Five Dollars ($3,925) in the manner following:

a. Sixty percent (60%), to wit, Two Thousand Three Hundred Fifty-
five Dollars ($2,355) of the total amount due in two (2) monthly
installments of One Thousand One Hundred Seventy-Seven Dollars
and Fifty Cents ($1,177.50) each, commencing on May 30, 1977.

b. The remaining forty percent (40%), to wit, One Thousand Five
Hundred Seventy Dollars ($1,570) within thirty (30) days following
receipt and acceptance of the written report specified in para-
graph 2 of this contract.

4. This contract is personal in nature and assignment of
performance by the ContrRctor to another is prohibited unless prior
approval in writing is granted by the State.

5. The Contractor is an independent Contractor and as such is
not entitled to any benefits of the State personnel system.

6. It is understood and agreed that the total cost of said fea-
sibility report is $7,850, of which one-half, to wit, $3,925, shall be
paid by the town of Hudson; and in no event shall the State be liable
for such portion or any part thereof which is to be paid by the town of
Hudson, the State's liability under this contract being limited to a
total of $3,925 as set forth in paragraph 3 of this contract.
