Dear Frank:

Enclosed please find four (4) fully signed copies of the
above contract, together with four (4) fully signed copies of
both termination contracts. Also enclosed are the
appropriate Resolutions from tne District as well as
notarized copies of the written ballots from the allottees
which approve execution of the contract.

All of the above documents have either been signed or
attested to by individuals duly appointed to the Board of
Directors of the District or elected as President and
Secretary of the District. As indicated by the enclosed
ReSOlutions, each of these per@ons has the authority to bind
the District, and the contract has been validly approved by
the governing body of the Dist~ict. In addition, all of the
allottees of the District have approved the contract as
evidenced by the notarized wri~ten ballots attached to the
contract. (EXHIBIT E)

In my opinion, there are no leqal provisions in the
District's rules and regulations or in state law which would
prevent this contract from being binding upon the District,
and the contract, as signed, i@ valid and binding against the
District.
