Appointment.. The Board of Directorat provided for <br />in the Decree of Incorporation of this District, ahall be appointed <br />by the District Court and shall be residents of and owners of real <br />property in the sUb-district from which they are chosen. Bach <br />Director shall hold office during the term for which he is appointed <br />and until his succeSSOC is duly appointed and has qualified, and <br />shall furnish a corporate surety bond at the expense of the District <br />in amount and Bum fixed and approved by the court, conditioned for <br />the faithful performance of the duties as such Director. <br /> <br />Section 2. Vacancies. <br />a. Any vacancy occurring in the Boar;d of Dir:ectors shall be <br />filled by the Court by appointment for the remainder of the <br />term of office vacated. <br />b. A vacancy sl1all be suggested to the Court to exist upon <br />reILoval of a member from his, Sub-District, death, <br />reSignation, or absence without reasonable cause from all <br />regular meetings for a period of six consecutive months. <br /> <br />. Section 3. General Powers and Duties. The powers and dutie's <br />of the Board of Di~ectors shall be all those set forth in the <br />Colorado Revised Statutes, 1973, Title 37, Article 45, as amended. <br />In accordance with said Statutes, the Board shall have, in addition <br />to all other powers expressly granted or reasonably to be inferred, <br />the power to: <br />a. Manage the business_and affa~rs of the Distr~ct.. <br />b. Engage and remove a manager, an attorney, an engineer, <br />and such other engineers, attorneys, assistants and <br />agents whenever, in its judgment, the best interests of the <br />District will be served thereby, and said employees and <br />agents shall perform such duties and exercise such <br />authority as the Board may, from time to time, vest in <br />them. <br />c. Fix salaries and compensation for employeea appointed by <br />the Board. <br />d. Make and adopt such Rules and Regulations, not inconsistent <br />with law, as it may deem advisable for prope~ management of <br />the business and affairs of the District. <br />e. Adopt an annual budget. <br />f. Designate by resolution such officers, agents or other <br />employees, authorized to sign checks, drafts or other <br />orders for 'pa.yment of money, and t.he manner in which <br />such Checks. drafts and orders shall be issued. . (Amended <br />8-l2-B7) <br /> <br />Section 4. Meetings. <br />a. A E:'egular meeting of the Board of Directors shall be <br />held monthly at such time and place as the Board of <br />Directors may provide by resolution. <br />b. Special meetings of the B~ard of Directors may be,held at <br />any time at any place upon written, notice of the President <br />or of a majo~ity of the Directors, given to each director <br />personally or by mail together with a telephone call to the <br />residence of each member at least twenty-four hours prior <br />to said meeting. If mailed, said notice shall be deemed to <br />be delivered when deposited in the United States mail <br />addressed to the director at his address as it appears on <br />the District records with postage thereon paid.
