<br />.J) <br /> <br />'v0 <br /> <br />. <br /> <br />. <br /> <br />ARTICLE XVIII, <br />COMPLAINTS <br /> <br />Section 1. In case any stockholder shall have any complaint <br />to muke on account of the distribution of water by the company, or <br />on account of the conduct of the water officers of the company, or <br />for any other reason, he shall make complaint in writing to the <br />superintendent who shall take such action as may be just and right <br />to adjust the matter. Provided, however, that if the decision of the <br />superintendent does not satisfy the objections of the stockholder, <br />he may appeal to the board of directors who shall make a full <br />investigation of the matter, and of the complaint, and such stock- <br />holder or stockholders may appear and offer such evidence as he or <br />they may see fit, and the board shall use all proper efforts to <br />correct the evils complained of. The final determination of the <br />board, however, shall be final and binding upon all parties concerned. <br /> <br />ARTICLE XIX. <br /> <br />A~IENDMENTS <br /> <br />The above I3y-Laws are subject to amendment by a majority vote <br />of the stockholders prcGcnt at any nnnunl meeting or any special <br />meeting called for that purpose. <br /> <br />Thereupon, Director J. F. Goff offered the following Resolu- <br />tion, which, on his motion, duly zeconded, waD unanimously adopted <br />by the Board: <br /> <br />BE IT RESOLVED, THAT ~{EREAS, The Terrace <br />Irrigation Company has been, pursuant to a petition <br />of the members of The Terrace Irrigation District, <br />duly organized for the purpose of taking over the <br />entire plant, property and holdings of The Terrace <br />Irrigation District; and <br /> <br />~flfEREAS, The Terrace Irrigation District has <br />offered and does now offer to transfer, assign and <br />convey its entire property, plant and holdings of <br />every kind and character whatsoever unto The Terrace <br />Irrigat'ion Compan~, in consideration of the Bum of <br />One Doll"r un.oo) and the assumption of the <br />obligations of The Terrace Irrigation District <br />now outstanding, including bonds of The Terrace <br />Irrigation District in the amount of approximately <br />:~66,OOO owned and held by the Reconstruction <br />Finance Corporation; and <br /> <br />~~EREAS, the Reconstruction Finance Corporn- <br />tion has tentatively agreecl to loan The r.rerrace <br />IrrlGtll;lorl ConlIltlrlY the Gunl of i~G6,OOO to be <br />utilized in payirlg off, retiring and sntisfyi~S <br />the bonded indebtedness of The'Terrace Irrigation <br />Dictric l; j ClIld <br /> <br />~IEREAS, The Terrace Irrigation Company has <br />been so organized as to provide for the issuance of <br />c.tock to the members of The Terrace Irrigation <br />District in the proportion of one share of stock <br />for each sixteen acres of lands now included in The <br />Terrace Irrigation District, or lands to which The <br />Terrace Irrigation District is obligated to deliver <br />water under contracts of The Terrace Irrigation <br />District; <br /> <br />-8- <br /> <br />~._----- <br />--- <br /> <br />-'- <br /> <br />....--r--.."-.-...
