A superintendent shall be appointed by the <br />board of directors, who ohall have the direct management of <br />the irrigation system of the company, and his compensation <br />fixed at such reasonable amount as the board may agree upon. <br />He shall direct the division of water from the canal pro-rata <br />on all shares issued and entitled to be issued, and make <br />correct return to the board of directors of all persons hired <br />or employed on the reservoir, canals or elsewhere, in the <br />interests and on behalf of the company, with a statement of <br />their wages; and to perform such duties as the board of directors <br />may direct. <br /> <br />Section 2. In times of scarcity of wate~, the superintendent <br />may, where there is not enough water to supply the stockholders, <br />acting under the di,ection of the board of di~ectors, deliver the <br />water to certain stockholders du,ing certain days of the week, and <br />at other times to other stockholders, provided that he treat all <br />stockholders fairly and equitably in the dist,ibution of water. <br /> <br />Section 3. The Superintendent is authorized and directed <br />to take immediate action for the prosecution of any person or <br />corporation altering or in any manner interfe>ing with any of <br />the headgates in the irrigation ~ystem of the company afte~ the <br />same has been fixed'by the super~ntendent or &itch rider of the <br />company, and notice posted thereon that the headgate has boen <br />set by the superinte.ndent or ditch rider. <br /> <br />ARTICLE XVI. <br />SALARIES. <br /> <br />Section 1. The Superintendent of the company, ditch riders <br />Ilnd other employees of the company, shall receive such compennn- <br />tlon aO may be de terrnincd upon by the board of directors. <br /> <br />Section 2. The board of directors shall receive as compen- <br />sation for their services, 115.00 per day for attendance at each <br />meetin~ of. the board, and for each day actually employed in the <br />management of the affairs of the company, and their reasonable <br />and actual traveling expenses when actually engaged in business <br />of the company, to be audited and allowed as in otfier cases of <br />demand against the company. <br /> <br />Section 3. The secretary and treasurer shall be allowed <br />such compensation as may be determined upon by the board of <br />directors. <br /> <br />Section 4. The compensation of all other employees of the <br />company shall be fixed and determined by the board of directors. <br /> <br />ARTICLE XVII. <br />WASTAGE AND HEADGATES <br /> <br />All headgates shall be under the exclusive control of the <br />wntcr superintendent, and shall at no time be turned on or off <br />except by no-tifying the superintendent and receiving his consent <br />thereto. The headgate of any stockholder allowing water to go to <br />waste shall be closed until he shall satisfy the board that he is <br />able to care for aIld apply his water. <br /> <br />-7- <br />
