The following opinions are based upon my review <br />of the following documents: (1) Certificate and Agreement of <br />Limited partnership of Lloyd Ranch Limited partnership filed with <br />the secretary of State of the State of Washington on May 10, 1989; <br />(2) the Amendment to Agreement of Limited Partnership of Lloyd <br />Ranch Limited partnership dated July 31, 1989; (3) the Consent to <br />Action of Board of Directors in Lieu of Special Meeting of Lloyd <br />Ranch Properties, Inc., authorizing Arthur Newman to execute all <br />documents necessary to cOilclud€l the cunt.l:acL w.i:th the State of <br />Colorado, Department of Natqral Resources, Colorado Water <br />conservation Board for rehabil.itation of all the Rapid Creek <br />Reservoirs; (4) the proposed LOan Contract between the Colorado <br />Water Conservation Board and LlOyd Ranch Limited partnership; (5) <br />the termination contract between the Colorado Water Conservation <br />Board and Lloyd Ranch Limited partnership; (6) the Feasibility <br />Report Contract between the Colorado Water Conservation Board and <br />Lloyd Ranch properties, Inc., ?ated July 6, 1990, ~ith App~ndices <br />A and B; and (7) the Colorado S~cretary of State's Certificate of <br />Authority for Lloyd Ranch ~ropertie~, Inc., 'a washington <br />corporation (the general partner of Lloyd Ranch LIinited <br />Partnership) . <br /> <br />On the basis of my review of the foregoing documents, I can <br />state the following: <br />
