<br />provided in said pOlicy for any and every
<br />injury, death, damage and loss of any sort
<br />sustained by any person, organization or
<br />corporation in connection with any activity
<br />performed by the Contractor (except for
<br />professional liability) by virtue of the
<br />provisions of that contract between the State
<br />and the Contractor for professional services,
<br />for the study on the White River. The
<br />coverages provided by this policy to the
<br />State or any other named insured shall not be
<br />terminated, .reduced or otherwise changed in
<br />any respect without providing at least thirty
<br />(3D) days prior written notice to the State.
<br />
<br />14. Indemnification - The Contractor or any subcontractor, in
<br />consideration for the State's promises herein set forth, promises
<br />to indemnify, save and hold hannless and defend the State, and
<br />all its employees and agents, acting officially or otherwise,
<br />from any and all liability, claims, demands, actions,debts, and
<br />attorney fees arising out of, claimed on account of, or in any
<br />manner predicated upon loss or damage to the property of and
<br />injuries to, or death of all persons whatsoever, which may occur,
<br />or is sustained in connection with the performance of this
<br />contract, or by conditions created thereby, or based upon any
<br />violation of any statute, ordinance, or reguation, and the
<br />defense of any such claims or ations.
<br />
<br />15. This contract shall automatically terminate on December
<br />31, 1985, and the report shall be made available on that date
<br />unless extended in writing by mutual agreement of the parties
<br />hereto. If the report is not available as provided above, a Ten-
<br />Dollar ($10) penalty per day shall be assessed. This contract
<br />may be terminated, with or without cause, by either party upon
<br />fifteen (15) days' notice in writing to the other party.
<br />
<br />16. All analyses in whatever formi published reports,
<br />articles, and documents of any naturei written, typed, and
<br />printed products; visual aids; computer programs and associated
<br />input and output datai and all other information and data
<br />gathered, generated, or otherwise produced by the Contractor and
<br />its consultants and subcontractors during the performance of this
<br />contract shall become the property of the State and shall be
<br />delivered to the State by the Contractor, at the Contractor's
<br />expense, upon demand at any time prior to or after the
<br />termination of this contract. One or more copies of all
<br />documents prepared under this contract may be retained by the
<br />Contractor for its use.
<br />
<br />17. The State will provide assistance to the Contractor by
<br />furnishing the data and services listed below, at the time or
<br />times required during the course of the investigations and
<br />studies for which this contract calls, to wit;
<br />
<br />A. All legal services on behalf of the State.
<br />
<br />B. Related project data available in State files.
<br />
<br />C. Related project data available from other governmental
<br />agencies.
<br />
<br />18. The Contractor shall not contract with a subcontractor
<br />for a longer time than the Contractor's time with the State.
<br />
<br />19. If any part of this contract, including, but not limited
<br />to, any exhibit, provision, paragraph, clause, phrase or words,
<br />ifs found to be in conflict with applicable laws, such part shall
<br />~be inoperative, null and void insofar as it is in conflict with
<br />said laws, but the remainder of the contract shall be given full
<br />force and effect.
