<br />~. <br /> <br />. <br /> <br />. <br /> <br />, ., <br /> <br />extended litigation and inconvenience. <br /> <br />ATTORNEYS FEES <br /> <br />13. In the event that an action is commenced to enforce <br />or interpret only this Settlement Agreement (and not the Project <br />Agreement of which it is a part) the Court shall award all <br />reasonable attorneys' fees, costs and litigation expenses to the <br />prevailing party. <br /> <br />AUTHORITY TO ACT <br /> <br />. <br /> <br />14. Each person executing this Settlement Agreement <br />represents and warrants that he/she has full legal authority to <br />enter into this Settlement Agreement and to bind the party for <br />which he/she has acted. Each such person also represents and <br />warrants that he/she has read this Settlement Agreement and has <br />conferred with counsel with respect to the substance of it. <br /> <br />BINDING EFFECT <br /> <br />15. This Settlement Agreement along with all of its <br />exhibits and the Amendment No. 2 to the Project Agreement of <br />which it is a part constitute the entire agreement between the <br />parties and shall be binding upon and inure to the benefit of the <br />parties hereto, together with all of their respective officers, <br />directors, shareholders, partners, agents, employees, attorneys, <br />insurers, and elected officials, past and present, and all of <br />their subcontractors, suppliers, sureties, insurers, successors <br />and assigns. <br /> <br />GOVERNING LAW <br /> <br />16. This Settlement Agreement shall be construed accord- <br />ing to Colorado law. <br /> <br />-5- <br />
