Contractor hereby withdraws its claims and waives all rights to pursue such claims. PAY SUBCONTRACTORS AND INDEMNIFY 9. Contractor agrees that payment of the sum set forth in paragraph 1 shall accommodate payment for any and all its sub- contractors, suppliers, and other persons working under or through it on the Project, and agrees to pay any and all debts and bills arising therefrom. 10. Contractor further agrees to defend, indemnify and hold Owner harmless from any and all claims that any of its sub- contractors, suppliers, or other persons might make against Owner arising out of or relating to any matter settled and released herein. SOLE PARTY IN INTEREST 11. Each of the parties acknowledge and warrant that they have been and remain the sole parties in interest with respect to the subject matter of this Settlement Agreement and with regard to all of the claims which have been or might be asserted arising out of the Project or in any way related thereto, and that none of the rights or claims have been, in whole or in part, assigned or transferred in any way to any other party. NOT ADMISSION 12. It is mutually understood and agreed that payment of the total sum above set forth is intended as a payment in compro- mise of all disputed claims and acceptance of such sum is in full accord and satisfaction of all disputed claims and is not an admission of liability on the part of either party. On the con- trary, each party expressly denies any such guilt or wrongdoing and has entered into this Settlement Agreement in order to avoid -4-
