SETTLEMENT AGREEMENT AND FULL AND FINAL RELEASE

THIS SETTLEMENT AGREEMENT AND FULL AND FINAL RELEASE
(Settlement Agreement) made this .73 day of Mati ' 19'1'0,
by and between the STATE OF COLORADO for the use an benefit of
the DEPARTMENT OF NATURAL RESOURCES and the COLORADO WATER CON-
SERVATION BOARD, 1313 Sherman street, Denver, Colorado 80203
(hereinafter called Owner) and the UTE MOUNTAIN UTE TRIBE
(hereinafter called the Tribe), acting by and through the
WEEMINUCHE CONSTRUCTION AUTHORITY for the use and benefit of the
Tribe, P.O. Box AA, Towaoc, Colorado 81334 (hereinafter called
Contractor) .

WITNESSETH:

THAT WHEREAS Owner enterea into a Project Agreement
(Agreement) dated September 19, 1988, attachea hereto as Exhibit
A and incorporated herein by re!erence, with Contractor for the
performance of construction services in conjunction with the
Towaoc Water Pipeline Project (~ereinafter referred to as the
Project); and

WHEREAS, disputes have arisen between the parties over cer-
tain matters, including, without limitation, claims by Contractor
for additional sums of money and additional periods of time; and,

WHEREAS, the parties hereto have reached an understanding
and agreement for the disposition of their claims pertaining to
the project and desire to settle their differences.

NOW, THEREFORE, it is agreed, by and between the parties
hereto, as follows:

PAyMENT

1. Owner shall pay to contractor the sum of one hundred
thirty thousand dollars ($130,000) in full, complete and final
settlement and satisfaction of all claims and construction costs,
to date, arising directly or indlr~ctly, or which could arise in
connection with, Division II worK f the Towaoc Municipal
Project. The bases for these clalm~ include, but are not limited
to, the following:
