State, nor shall the Contractor allow any subcontractor to
commence work on its subcontract u~til all insurance required of
the subcontractor shall have" been so obtained and approved." The
minimum insurance required hereunder shall include:

A. Workers I Compensation Insurance - The Contractor and
each subcontractor or consultant shall comply with the
Workmen's Compensation Act of Colorado (Articles 40 through
54, Title 8, CRS, 1973) if applicable.

B. Liabili"ty Insurance - The Contractor shall.maintain in
effect, to the extent that such insurance is available at
reasonable cost, employer's liability, professional
liability, "comprehensive general liability (bodily injury
and property damage), and comprehensive automobile liability
(bodily injury and property damage) insurance with respect
to employees and vehicles of "the Contractor assigned to the
prosecution of work under this contract in a maximum amount
of not less than $300,000. The Contractor will' supply to
the State a certificate of each such insurance and any
subsequent renewals, each of which must contain the
fOllowing provisions (to provide the indicated protection to
the State):

The State of Colorado, .acting by and through
the Colorado Water Conservation Board
(hereinafter lithe State"), is a named
insured for all coverages (including
automobile) provided by this policy of
general comprehensive insurance a'nd shall ,be
"fully and completely protected to the extent
provided in said policy for any and every
injury, death, damage and loss of any sort
.sustained by any person, organization or
corporation in connec.tion with any activity
performed by the Contractor (except for
professional liability) by virtue of the
provisions of that contract between ..the
State and the International Engineering
Company, Incorporated, for prOfessional
servi~es, for the feasibility study of the
Yellow Jacket Project dated December 21,
1981. The coverages provided by this policy
to the State or "any other additional insured
shall," not be terminated, reduced or
substantially changed without providing at
least thirty (30) days prior written notice
to the State;

14. Indemnification - The Contractor hereby agrees to save
harmless'- and defend the State from all claims and liability for
which the'Contractor has legal liability arising out of the
negl igent acts, errors, or omissions of the Contractor,' its
agents and/or employees in performing the work required by this
contract; provided, however, such defense, indemnification and
hold harmless shall not exceed the sum of the amounts paid to, or
qn behalf of, the Contractor- as the proceeds of any applicable
insurance plus the deductible amount of such insurance, as
described above in paragraph 13.
