<br />NOW THEREFORE, in consideration of the foregoing recitals, <br /> <br />the mutual covenants contained herein, and other good and <br /> <br />valuable consideration, the receipt and sufficiency of which <br /> <br />are hereby acknowledged, the Parties hereto agree as follows: <br /> <br />1. Assignment of Agreement. Except as otherwise <br /> <br />provided by this Assignment, Kelton hereby assigns <br /> <br />transfers, and conveys to Bancroft-Clover all of <br /> <br />Kelton's right, title and interest in and to the <br /> <br />Contract. <br /> <br />! <br />! <br /> <br />2. <br /> <br />Assumption of Duties. <br /> <br />Except as otherwise provided <br /> <br />by Paragraph 3 of this Assignment, Bancroft-Clover <br /> <br />hereby accepts the Contract and assumes, accepts, <br /> <br />covenants and agrees to perform and be bound by the <br /> <br />duties, obligations, and responsibilities of Kelton <br /> <br />under the Contract. <br /> <br />3. Kelton to Remain Liable. Kelton and Bancroft-Clover <br /> <br />specifically agree that the duties, obligations and <br /> <br />responsibilities of Kelton to repay the State pursuant <br /> <br />to Paragraph A.12 of the Contract are not subject <br /> <br />- to> the-terms' of- this Assi:gnment -and- that- Kel-ton- shall:" <br /> <br />remain solely obligated to perform all such duties, <br /> <br />obligations and responsibilities and to indemnify the <br /> <br />" <br /> <br />State for any failure to do so, under Paragraph 1 of the <br /> <br />. <br /> <br />Second Amendment to the Contract. <br /> <br />Kelton specifically <br /> <br />agrees and covenants to pay the total remaining purchase <br /> <br />price of $773,637.91, payable in 27 annual installments <br /> <br />of $22,265.90, with a final payment of the remaining <br /> <br />principal sum of $105,041.25 on November 30, 2012 until <br /> <br />the entire obligation hs been satisfied. <br /> <br />Kelton <br /> <br />shall remain solely obligated to the State for <br /> <br />performance of the duties, obligations, and responsibilities <br /> <br />called for under said paragraph. The State hereby agrees <br /> <br />to look solely to Kelton for performance of said duties, <br /> <br />obligations and responsibilities. <br />
