HEIGHTS WATER AND SANITATION DISTRICT (hereafter "Kelton"), and

the BANCROFT-CLOVER WATER 1\\00 SANITATION DISTRICT (hereafter

"Bancroft-Clover") 1 and is consented to by the STATE OF COLORADO,

for the;?se and benefit of the Department of Natural Resources,

Colorad'o \'iater Conservation Board (hereafter "the State").

Kelton and the State have entered into that

dated August 15, 1981, together with an

September 15, 1983 and an amendment dated

, 1985 (the "Contract"), a copy of which is

attached hereto and incorporated herein as Exhibit "A"; and

WHEREAS, Kelton has petitioned the District Court in and

for the County of Jefferson and State of Colorado for permission

to dissolve the District upon the condition that the property

presently within Kelton be included into Bancroft-Clover; and

WHEREAS, through a Trust Agreement with the Denve~

National Bank as Trustee, Kelton has established a financing plan

obligations called for by Section AT Paragraph 12 of the

Contract; and

WHEREAS, Kelton wishes to delegate specified duties and

asign specified rights which arise under the Contract to

Bancroft-Clover and, in consideration of the inclusion of the

property presently within Kelton into Bancroft-Clover, Bancroft-
Clover wishes to accept su~h rights and duties.
