., - • � � <br />ARTICLE I <br />Name, Limit of Obligations and Benefits <br />1. ame. The name of the Study hereby established shail be the South Metro Water <br />Supply Study, which consists of the management and completion of the tasks described iq the Scope <br />of Work attached hereto as E7chibit A, as may be amended from time to time ("Study"). <br />� •� � � : <br />a. i i . The execution of this Agreement shall only obligate those Study <br />Participants executing this Agreement and funding the Study. Members of the Authority that aze not <br />Study Participants sha(1 have no rights or liabilities with regud to this Study. Notwithstanding its <br />execution of this Agreement, the Authority shall not be deemed to be a Study Participant for any <br />purpose. It is hereby acknowledged that "Study Participants" are called "DCWRA Study Group <br />members" in the Scope of Work. The boundaries of the territory within the service azeas of the Study <br />Participants shall not be a limitation on the performance of the Scope of Work. <br />b. Benefits. Study Participants shall have the exclusive right to utilize the reports, <br />data, analysis, recommendations, and other products azising from the Study and the Scope of Work <br />("Products"). To the extent funded by each Participant, Products shall be proprietary and shall be <br />protected by Study Participants to maintain such deliberative process privifege, executive privilege, <br />trade secret protection, or other protections of confidentia(ity as are available. Copyright, trademazk, <br />or patent protection will be obtained for Products and will be enforced as deemed necessary by the <br />Study Boazd (as defined below). In the event that the Study leads to the creation of a project, the <br />wnstruction or modificaxion of a water facility, adoption of a procedure, or modification of existing <br />practices, ttte Study Participant shall be entitled to participate in that portion of the benefit allocated <br />to the Authority and the Participating Authority members up to the percentage of the Study costs paid <br />by the Authority and participating Authority members funded by that Participant. A Study Participant <br />that withdraws pursuant to Article IX, Section 3 hereof or is removed pursuant to Article IX, Section <br />4 hereof, shall not ieceive such benefits. <br />ARTICLE II <br />Funding <br />1. Funding of 51udv. The Study Participants' annual shaze of the cost of the Study shall <br />not exceed $375,000 un(ess an amendment to this Agreement is unanimously approved by the Study <br />Participants specifying a greater amount. Each Study Participant shall pay the following percentage <br />as their respective shaze of the cost of the Study for calendar year 2000: <br />G \125]0\115outhMatroApreementl0 wpd - 2 � <br />
