DOUGLAS C.OUNTY WATERRESOURCE AUTHORITY
PROJECT PARTICIPATION AGREEMENT
FOR
SOUTH METRO WATER SUPPLY STi3DY
WHEREAS, the Douglas Counry Water Resource Authority ("Authority") was established,
inter alia, to improve the quality of life of present and future residents of Douglas County and the
surrounding area, to improve water supply, and to improve the economic destiny of its members by
providing a forum for cooperative efforts towazd the development and operation of a stable and
efficient water system; and .
WHEREAS, the Establishing Contract that created the Authority ("Establishing Contract")
provided for the organization of projects of benefit to a specific group of the Members of the
Authority and others, subject to the agreement of such group of Members and others to the terms of
a Project. Participation Agreement that describes the project, its financing, and its governance; and
WHEREAS, the Members ofthe Authority consider the need for developing sustainable and
renewable water sources as an important element for the long term public heakh; safety and welfare
oftheir present and prospective water customers; and
WHEREAS, the members of the Authority see the need to act in a unified and cooperative
manner with respect to management of its potentially available water resources, including, but not
limited to, the Denver Basin aquifers underlying Douglas and Arapahoe Counties, the integration and
allocation of renewable supplies, wheeling and system integration, if appropriate, return flows and
tbe dischazge and use of ef�luent and other water sources; and
WHEREAS, the members of the Authority have, by Resolution No. 998-02, requested the
Denver Water Boud and Colorado River Water Conservation District to join in a Study (as defined
below) to assess the potential opportunities that may be realized through cooperative actions; and
WHEREAS, acting pursuant to the Establishing Contract, 5ection 18(2)(a) of Article XIV
of the Constitution of the State of Colorado, and Section 29-1-203, C.R.S., the Members and others,
if any, who have entered into this Agreement or an addendum hereto ("Study Participants"), have
found that it is in their respective best interests to enter into this Project Participation Agreement
("Agreement") to complete the Scope of Work for the South Metro Water Supply Study attacned
hereto as Exhibit t� and as may be amended from time to time ("Scope of Work").
NOW, THEREFORE, for and in consideration of the premises and promises herean
contained, the sufficiency of which is hereby acknowledged, the Study Participants agree as follows:
