f � .� � <br />. • <br />H. Under the STUOV Participant Agreement, the participants formed a Sru�v Board, comprised of <br />Participant representatives. The STU�v Board will conduct the STU�v in conjunction with the <br />Sruov manager, Peter Binney, and will retain consultants as necessary for the technical aspects <br />of the Sruov. <br />NOW THEREFORE, in consideration of the mutual and dependent covenants contained <br />herein, the parties agree as follows: <br />Scope of Work. The CoNTr�cTOR shall require the STU�v Board to conduct the STUOV tasks in <br />accordance with the STUDY Scope of Work contained within the "Douglas County Water <br />Resource Authority Project Participation Agreement for South Metro Water Supply Study° and <br />Budget, both documents attached as Appendix A and Appendix B, respectively, and <br />incorporated herein. <br />2. Time of perFormance. The CONTRACTOR recognizes that time is of the essence in the <br />performance of its obligations under this contract. Therefore, the CONTRACTOR shal{ be <br />responsible for the completion of the tasks listed in the STU�v Scope of Work on or before three <br />(3) years from the effective date of this contract. <br />3. Disbursement of funds. The CWCB shall disburse funds to the CoNTRncroR to pay for the <br />costs associated with conducting the STU�v up to a maximum amount of $100,000 in the <br />following manner: <br />a. Statement of costs. During the performance of the Sruov, the CoN'r�tncTOR shall prepare <br />statements of the costs of the STUOV. Each statement shail indicate the tasks that have <br />been performed and the percentage completion of each task by task number as specified <br />in the STUOV Scope of Work and submitted to the CWCB for payment. The CoNrRncTOR <br />shall submit such statements to the CWCB for payment by the CWCB. <br />b. Payment of statements. Upon receipt and approval by the CWCB of each such <br />statement of costs, the CWCB will, within 30 days from its approval of such statement, pay <br />to the CoNrRa,croR the amount of the statement or such portion thereof as has been <br />approved by the CWCB. The parties agree that the CWCB shall pay its portion of the <br />study costs in the amount of $100,000 upon its receipt and approval of a statement(s) <br />indicating that pertormance of $100,000 worth of tasks has been completed. <br />4. Coordination of Study with the CWCB. During completion of the STUOV th2 CONTRACTOR WIII <br />submit the following items for review and comment by the CWCB staff: draft and final study <br />work products, Sru�v schedules and progress reports, notice of any revisions to the Sruov <br />scope of work, notices of STUOV meetings, and copies of all consultant invoices and summaries <br />of all other STUOV related expenditures. Upon completion of the PRO�ECT, if the CWCB so <br />requests, the CoN'r�cTOR shall make a presentation to the CWCB at a regularly scheduled <br />CWCB meeting on the completed PRO�ECT. <br />5. Termination of contract for cause. If, through any cause, the CoNTRacroR fails to fulfill in a <br />timely and proper manner its obligations under this contract, or if the CoNTwacroR violates any <br />of ihe provisions of this contract, the CWCB, shall thereupon have the right to terminate this <br />contract for cause by giving written notice to the CoNTRacTOR of such termination and specifying <br />the effective date thereof, at least five (5) days before the effective date of such termination. In <br />that event, the CONTRACTOR shali provide the CWCB with copies of a{I finished PRO�EC1 <br />development, data, drafts and conclusions prepared by or for the CoNr�u+croR. The <br />CoNTRncroR shall provide such copies to the CWCB within thirty (30) days of the effective date <br />of such termination.
