To the extent allowed by law and to the extent of their percentage of participation, the Study Participants shall defend, indemnify, and hold harmless the Authoriry from any and all actual or threatened claims or losses arising from the acts or omissions of the Study Par[icipants, Study Board, and MTRs arising from the performance of this Agreement and the Scope of Work. 2. Indemnification of Individuals. The Study shall, to the extent permitted and within the 1'smitations of law, indemnify and defend each Study Board member and MTR in connection with any claim or actual or threatened suit, actioq or proceeding in which he or she may be involved in his or her official capacity by reason ofhis or her beang or having been such Study Boazd member or MTR, or by reason or any action or omission by him or her in any such capacity. The Study shall have no obligation to indemnify and defend any such Study Board member or MTR for any claim, suit, action or proceeding azising out of a criminal offense or willful and wanton misconduct. 3. n an . The Study shall acquire insurance through the Authority or may, if obtainable at a reasonable cost, maintain insurance with respect to its properties and business and with respect to its Study Boazd members and MTRs against such casualties and contingencies of such types and in such amounts as may be recoverable pursuant to the Govemmental Immunity Act (Sections 24-10-101 through -120, Colorado Revised Statutes). Insurance may include, but not be limited to, general liability insurance, directors and officers insurance, and other coverage as detemuned by the Study Boazd. 4. Liabifi of Study Partici�ants. The Study Participants shall have no liability for the obligations and liabilities of the Study, except as provided in this Article VI oc as may have been approved in the annual Study Budget. ARTICLE VII Non-Impairment of Authority Member's Powers and Rights 1. No Im�ainnent of Existine Contrac?s. Nothing in this Agreement shall impair, amend, limit, abridge, contravene or otherwise affect the rights of any Members of the Authority or Study PartiCipants under any existing contracts or agreements. 2. No Restriction on Water Pow�ers of Stud��Partic�ants. Nothing herein shall be deemed or construed to restrict, prohibit, or otherwise limit any Study PaRicipant from obtaining water services, facilities, or programs from any source that such Study Participant may desire on its own or in a combined manner with some other Study Participant, Member of the Authority, non- member or combination thereof.
