President Jouflas found a quorum present and convened the meeting
at 8:39 a.m.

After discussion and vote the board passed the following motions
unanimously, except as noted:

Approving the Minutes and Actions of the July 1, 1986 Remand
Case Selection Committee meeting;

Approving the Minutes and Actions of the July 15, 1986 Board
of Directors Meeting;

Approving the Minutes and Actions of the July 25,
Juniper-Cross Mountain Committee Meeting;

Approving the Minutes and Actions of the July 29, 1986 Investment
Committee Conference Call Meeting.

Approving and Minutes and Actions of the September 29, 1986
Executive Committee Conference Call Meeting.

Approving the Minutes and Actions of the October 3, 1986 Budget

Accepting and approving the Treasurer's Reports for July, August
and September;

Accepting the quarterly reports of the Secretary-Engineer and
General Counsel.

Directing that the President and Secretary execute a contract
with the Colorado Water Conservation Board and the City of Craig,
which contract shall provide for a feasibility study to analyze the
potential and cost of increasing the storage at the existing Elkhead
Reservoir for the benefit of the City of Craig; and in the interest
of fostering increased storage and beneficial use of water on the
western slope, the River District shall contribute 50% of the cost
of the study, but not to exceed $10,250, and the Colorado Water
Conservation Board shall. contribute an equal payment; and, the study
shall compare costs and ability of the City of Craig to utilize water
from alternative sources. Director Signs voted "Non.

Directing the President and Secretary to execute a contract with
KKBNA, the engineering firm recommended by the Remand case Selection
Committee to do necessary engineering work associated with the IIRemand
Case" between Denver and the River District (82SA259/82SA478 Remanded
to C.A. 1529, 1548 and 2371); the cost of KKBNA's services being shared
